Scope

These terms govern the sale of steel pipes and tubes — ERW, seamless, drill / borewell, precision / hydraulic, printing cylinders — from RP Sales, Kanpur, to business buyers across India. RP Sales is a B2B wholesaler / distributor and does not transact with consumers under the Consumer Protection Act 2019.

Quotation and acceptance

Quotations issued by RP Sales are valid for 7 working days from the date stated on the quotation unless explicitly extended in writing. Acceptance is confirmed by a formal Purchase Order or by advance payment per the agreed terms. Mill / coil rates fluctuate daily; if a PO is placed after the quotation validity window has elapsed, the order will be re-quoted at the prevailing mill rate.

MTC and TPI inclusion

Mill Test Certificates per EN 10204 Type 3.1 are included as standard with every dispatch from RP Sales. Type 3.2 certificates with third-party inspection (TPI) by an IBR-approved or BIS-empanelled agency are available on request and quoted as a separate line item. For IBR-stamped boiler tube orders, Form III-C is filed and forwarded to the buyer; filing timelines are quoted per order.

Payment terms

Default payment terms for new buyers: 100% advance against pro-forma invoice. Established buyers may be offered credit (typically 7–30 days) at RP Sales' discretion after review of trade references and GST filing history. Letter of Credit (LC) orders are accepted for export and select domestic shipments; LC terms are negotiated case by case.

Dispatch, risk transfer, and delivery

Goods are dispatched ex-works (FOR Kanpur) or FOR-destination per the PO. Title and risk pass to the buyer on loading at the RP Sales yard unless the order is FOR-destination, in which case risk passes on unloading at the named destination. Lead times stated on the quotation are estimates; RP Sales is not liable for transit delays caused by the logistics carrier, force majeure, or strike action beyond its reasonable control.

Inspection and rejection

The buyer must inspect goods on arrival and notify RP Sales of any shortage, surface damage, or non-conformance to spec in writing (email acceptable) within 7 working days of receipt. Claims raised after this window will not be entertained except for latent defects covered under the MTC. For TPI-inspected lots, the third-party inspector's release certificate is final on conformance.

Returns and replacement

Steel pipes and tubes once cut, slit, threaded, painted, or otherwise modified to buyer specification are non-returnable. Standard-length stock material returned in mill-fresh condition within 30 days attracts a 10% restocking + freight charge. Genuine spec failures backed by independent lab testing are replaced at no charge or refunded at RP Sales' discretion.

Limitation of liability

RP Sales' total liability under any order is limited to the invoice value of the goods supplied. RP Sales is not liable for indirect, consequential, or loss-of-profit damages.

Force majeure

Neither party is liable for delay or non-performance caused by force majeure: natural disasters, fire, flood, government action, war, civil unrest, mill strike, transport blockade, or any cause beyond the affected party's reasonable control.

Governing law and jurisdiction

These terms are governed by the laws of India, including the Sale of Goods Act 1930 and the GST Act 2017. Any dispute arising from a sale is subject to the exclusive jurisdiction of the competent courts at Kanpur, Uttar Pradesh.
